1. Introduction
Freshly Squeezed Ads ("we", "us", "our") operates an online advertising marketplace connecting publishers and advertisers. By registering for or using our platform, you agree to these Terms of Service. If you do not agree, do not use the platform.
2. Eligibility
You must be at least 18 years old and legally capable of entering into contracts. By using the platform you confirm this. Business users must be authorised to bind their organisation to these terms.
3. Publisher Terms
Site approval: All sites must be submitted for review and approved before serving ads. We reserve the right to approve or reject any site at our discretion.
Compliance: Approved sites are subject to monthly compliance reviews. Sites found to violate our policies will be suspended.
Prohibited content: Sites must not contain adult content, illegal material, hate speech, malware, or content that infringes third-party rights.
Traffic: All traffic must be genuine human traffic. Bot traffic, click fraud, and artificial inflation of metrics are strictly prohibited and will result in permanent account termination and forfeiture of earnings.
Earnings: Publishers receive 75% of gross ad revenue generated on their sites. Earnings are calculated and paid monthly, subject to a minimum threshold of $50.
4. Advertiser Terms
Creatives: All ad creatives must be submitted for approval before serving. We reserve the right to reject any creative that violates our policies or applicable law.
Prohibited advertising: Ads must not promote adult content, weapons, illegal drugs, gambling without proper licences, misleading claims, or any content illegal in the target jurisdiction.
Billing: Advertising funds are held in escrow via our payment provider. Funds are deducted as impressions and clicks are delivered. We are not liable for underperformance of campaigns.
Click fraud protection: We employ fraud detection systems. Advertisers are only charged for non-duplicate, non-fraudulent clicks and impressions.
5. Payment Processing
Payments are processed via MangoPay, a regulated Electronic Money Institution. By using payment features you also agree to MangoPay's terms. We hold funds in segregated escrow wallets — advertiser funds are not commingled with our operating funds.
6. Prohibited Conduct
You must not: attempt to circumvent our fraud detection; scrape or reverse-engineer the platform; use the platform to distribute malware; create multiple accounts to circumvent bans; or interfere with the platform's operation.
7. Intellectual Property
You retain ownership of content you upload. By uploading creatives or site content you grant us a licence to display and serve that content on our platform. We retain all rights to the platform itself.
8. Termination
We may terminate or suspend your account at any time for breach of these terms. On termination, verified outstanding balances will be paid out within 30 days, less any amounts owed to us.
9. Limitation of Liability
To the fullest extent permitted by law, we are not liable for indirect, incidental, or consequential damages. Our total liability to you shall not exceed the fees paid to us in the three months preceding the claim.
10. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
11. Changes
We may update these terms with 7 days' notice for material changes. Continued use after that period constitutes acceptance.
